3.1 Age Requirements

• You must be at least 16 years old to use this Platform
• If you are under 18, you must have parental or guardian consent
• By using the Platform, you represent that you meet these age requirements

3.2 Account Creation

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized use of your account
• You are responsible for all activities that occur under your account
• We reserve the right to suspend or terminate accounts that violate these Terms

3.3 Restaurant Verification

• Restaurants must provide valid business registration and tax information
• We reserve the right to verify restaurant credentials before account activation
• Restaurants must have the legal right to operate a food service business
• False or misleading information may result in immediate account termination

4.1 Permitted Use

• You may use the Platform only for lawful purposes and in accordance with these Terms
• Restaurants may use the Platform to manage menus, process orders, and accept reservations
• Customers may use the Platform to browse menus, place orders, and make reservations
• You may use the Platform only for your own personal or business use

4.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload or transmit viruses, malware, or malicious code
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Engage in any form of automated data collection (scraping, crawling, etc.)
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Interfere with or disrupt the Platform or servers
• Use the Platform for fraudulent purposes or to conduct illegal transactions
• Harass, abuse, or harm other users
• Post false, inaccurate, misleading, defamatory, or libelous content

5.1 Order Placement

• Orders placed through the Platform constitute an offer to purchase
• We reserve the right to refuse or cancel any order for any reason
• Restaurants are responsible for accepting or rejecting orders
• Order acceptance creates a binding contract between Customer and Restaurant
• All prices are displayed in British Pounds (GBP) unless otherwise stated

5.2 Payment

• Payment is processed securely through our third-party payment processor (Stripe)
• You authorize us to charge your payment method for the total order amount
• Payment must be completed before order fulfillment
• We are not responsible for any fees charged by your payment provider
• All sales are final unless the Restaurant agrees to a refund or cancellation

5.3 Reservations

• Reservations are subject to availability and Restaurant acceptance
• Some reservations may require a deposit, which may be non-refundable
• Cancellation policies are determined by individual Restaurants
• Failure to honor a reservation may result in loss of deposit
• Restaurants reserve the right to cancel reservations with reasonable notice

5.4 Cancellations and Refunds

• Cancellation policies vary by Restaurant and are displayed at time of order
• Refund requests must be made directly to the Restaurant
• We may facilitate refunds but are not obligated to provide refunds
• Processing fees are generally non-refundable
• Refunds may take 5-10 business days to appear in your account

7.1 Subscription Tiers

• We offer multiple subscription tiers with different features and pricing
• Subscription fees are billed monthly or annually as selected
• All fees are exclusive of applicable taxes unless stated otherwise
• Subscription fees are non-refundable except as required by law

7.2 Payment and Billing

• Subscription fees are charged in advance for the billing period
• You authorize automatic recurring charges to your payment method
• Failed payments may result in service suspension or termination
• You are responsible for all charges incurred under your account

7.3 Changes to Fees

• We reserve the right to modify subscription fees with 30 days' notice
• Fee changes will not affect your current billing period
• Continued use after fee changes constitutes acceptance
• You may cancel your subscription if you do not agree to fee changes

7.4 Cancellation

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of the current billing period
• You will retain access to paid features until the end of the billing period
• No refunds will be provided for partial billing periods

8.1 Our Intellectual Property

• The Platform and all content, features, and functionality are owned by Loops Tech LTD
• Our trademarks, logos, and service marks are protected intellectual property
• You may not use our intellectual property without prior written consent
• All rights not expressly granted are reserved by us

8.2 User Content

• You retain ownership of content you upload to the Platform
• By uploading content, you grant us a worldwide, non-exclusive license to use, display, and distribute it
• You represent that you have the right to upload and share your content
• You are responsible for ensuring your content does not infringe on third-party rights
• We reserve the right to remove content that violates these Terms

8.3 Copyright Infringement

• We respect intellectual property rights and expect users to do the same
• If you believe content infringes your copyright, contact us at [email protected]
• Include detailed information about the alleged infringement
• We will respond to valid takedown notices in accordance with UK law

9.1 Platform Provided "As Is"

• The Platform is provided on an "as is" and "as available" basis
• We make no warranties, express or implied, regarding the Platform
• We do not guarantee uninterrupted, secure, or error-free service
• We are not responsible for the quality, safety, or legality of items ordered
• We do not endorse or guarantee any Restaurant or their products

9.2 Limitation of Liability

• To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim
• We are not liable for delays or failures caused by circumstances beyond our control
• We are not responsible for disputes between Customers and Restaurants
• We are not liable for food safety issues, allergic reactions, or health concerns

9.3 Indemnification

• You agree to indemnify and hold us harmless from claims arising from your use of the Platform
• This includes claims related to your violation of these Terms
• You will defend us against claims resulting from your content or actions
• We reserve the right to assume exclusive defense of any matter subject to indemnification

10.1 Governing Law

• These Terms are governed by the laws of England and Wales
• Any disputes shall be subject to the exclusive jurisdiction of English courts
• You irrevocably submit to the jurisdiction of the English courts

10.2 Dispute Process

• Before filing a claim, you agree to attempt informal resolution by contacting us
• We will attempt to resolve disputes through good faith negotiations
• If informal resolution fails, disputes may be resolved through court proceedings
• Nothing in these Terms affects your statutory rights as a consumer

12.1 Entire Agreement

• These Terms, together with our Privacy Policy, constitute the entire agreement
• These Terms supersede all prior agreements and understandings

12.2 Severability

• If any provision is found unenforceable, the remaining provisions remain in effect
• Invalid provisions shall be modified to the minimum extent necessary

12.3 Waiver

• Our failure to enforce any right does not constitute a waiver
• Waivers must be in writing to be effective

12.4 Assignment

• You may not assign these Terms without our written consent
• We may assign these Terms at any time without notice

12.5 Force Majeure

• We are not liable for delays or failures due to circumstances beyond our control
• This includes natural disasters, war, terrorism, labor disputes, and technical failures
